Andium Homes Limited: 2016 Annual General Meeting: Voting Instructions

A formal published “Ministerial Decision” is required as a record of the decision of a Minister (or an Assistant Minister where they have delegated authority) as they exercise their responsibilities and powers.

Ministers are elected by the States Assembly and have legal responsibilities and powers as “corporation sole” under the States of Jersey Law 2005 by virtue of their office and in their areas of responsibility, including entering into agreements, and under any legislation conferring on them powers.

An accurate record of “Ministerial Decisions” is vital to effective governance, including:

  • demonstrating that good governance, and clear lines of accountability and authority, are in place around decisions-making – including the reasons and basis on which a decision is made, and the action required to implement a decision

  • providing a record of decisions and actions that will be available for examination by States Members, and Panels and Committees of the States Assembly; the public, organisations, and the media; and as a historical record and point of reference for the conduct of public affairs

Ministers are individually accountable to the States Assembly, including for the actions of the departments and agencies which discharge their responsibilities.

The Freedom of Information Law (Jersey) Law 2011 is used as a guide when determining what information is be published. While there is a presumption toward publication to support of transparency and accountability, detailed information may not be published if, for example, it would constitute a breach of data protection, or disclosure would prejudice commercial interest.

Decision(s): The Minister authorised the Director – Treasury Operations and Investments to attend the Annual General Meeting on 22nd June 2016 as his representative and to vote in favour of the 4 Ordinary Resolutions to be put before the meeting.

 

Reason(s) for decision:  To fulfil the States’ role as Guarantor of Andium Homes Ltd by exercising voting rights at the 2016 Annual General Meeting.

Resource Implications: This decision has no resource implications other than those detailed in the report.

Action required: The Director – Treasury Operations and Investments to attend the AGM and to vote in accordance with the Ministers instructions, as set out above.

aNDIUM hOMES lTD- agm VOTING INSTRUCTIONS

 

  1. Purpose of Report

To enable the Minister for Treasury and Resources to vote on the resolutions to be put before the 2016 Annual General Meeting of Andium Homes Ltd  on 22nd June 2016. Notice of the AGM was given on 6th May 2016 and a copy is attached as Appendix A.

 

  1. Background

On 1st July 2014 Andium began to operate as a wholly owned company, limited by guarantee with the States as the guarantor member acting through the Minister for Treasury and Resources. All net assets, operations, tenants and staff of the previous Housing Department transferred to Andium on that date.

In accordance with its Articles of Association, Andium have given notice that the company will be holding its Annual General Meeting on 22nd June 2016. There are four resolutions put forward for consideration.

 

  1. Resolutions

The following ordinary resolutions have been put forward.

  • Resolution 1 – To receive the minutes of the previous Annual General meeting and approve the content.
  • Resolution 2 – To re-appoint the auditors of the Company, Baker Tilly Channel Islands Limited, by ordinary resolution to hold office until the next Annual general meeting at which accounts are laid before the Company with the level of their remuneration for audit services set at £43,000.
  • Resolution 3 – To receive the annual report, including the audited financial statements, for the year ended 31st December 2015.
  • Resolution 4 - To receive the annual remuneration report of the Appointments and Remuneration Committee, included with the financial statements, and approve the remuneration that was agreed by the Committee.

The Minister is recommended to instruct the Director, Treasury Operations and Investments to attend the Annual General Meeting and vote in favour of the four Resolutions.
