Notice is hereby given that, by an order dated 20 December 2022 made by the High Court of Justice of England and Wales (the "Court"), the Court has directed that a hybrid format meeting of the Scheme Creditors ("the Meeting") be convened for the purpose of considering and, if thought fit, approving (with or without modification) a scheme of arrangement ("the Scheme") pursuant to Part 26 of the Companies Act 2006 proposed to be made between Petropavlovsk 2016 Limited (in administration) (the "Company") and its Scheme Creditors.
The Meeting to consider the Scheme will be held on 11 January 2023 at 10:30am (London time) at the offices of Joseph Hage Aaronson LLP, 280 High Holborn, London WC1V 7EE and remotely via an online platform. Please contact i2 Capital Markets, on petropavlovsk@i2capmark.com ("the Information Agent") to receive instructions on how to access the Meeting.
The Meeting will be recorded by video and audio in order to establish and maintain records of the existence of relevant facts or decisions that are taken at the meeting. By attending this meeting, you consent to being recorded including recordings of your facial image. Where any recording of the meeting also entails the processing of personal data, such personal data shall be treated in accordance with the Data Protection Act 2018.
Scheme Creditors may vote in person at the relevant English Scheme Meeting or by a duly authorised representative (if a corporation), or they may appoint another person as their proxy. In order to attend and vote at the English Scheme Meeting (in person, by a duly authorised representative, if a corporation, or by proxy), Scheme Creditors must ensure that unless a Scheme Creditor is an individual, it must complete and return a Proxy Form in order to be able to vote at the English Scheme Meeting. A proxy must be an individual person and may be a director or officer of the relevant Scheme Creditor (if a corporation), or may be some other individual person (including the Scheme Supervisor). All Scheme Creditors are requested to attend at such place and time either in person, by a duly authorised representative, if a corporation, or by proxy. To the extent creditors may wish to attend the Meeting by proxy, instructions must be submitted to appoint the Information Agent as proxy as soon as possible and in any event so as to be received by the Information Agent no later than the Voting Instruction Deadline, which is 5pm on 9 January 2023.
The proposed English Scheme and the Explanatory Statement required to be provided to Scheme Creditors have been circulated to Known Scheme Creditors. Copies of these documents may be obtained by written request to i2 Capital Markets, on petropavlovsk@i2capmark.com ("the Information Agent").
By the order referred to above, the Court has appointed Allister Manson, one of the administrators of the Company, or, failing him, Gareth Wilcox, also one of the administrators of the Company be appointed to act as chairperson of the Meeting and of any adjournment thereof ("the Chairperson") and be directed to report the results of the Meeting to the Court.
The Scheme will be subject to the subsequent approval of the Court.
