Fairview Farm Limited notice of merger

​​​Notice of Merger pursuant to Article 127FC of the Companies (Jersey) Law 1991 (as amended)

Notice is hereby given on behalf of Fairview Farm Limited of its intention to merge with Cranwell Limited, Jersey Royal Property Holdings Limited and Old Mates Limited (Collectively the Merging Companies), in accordance with Part 18B of Companies (Jersey) Law 1991 (as amended) (Companies Law) and continue as one merged company to be known as Fairview Farm Limited (Merged Company).

The Merging Companies are wholly-owned subsidiaries of Fairview Farm Limited.

On completion of the proposed merger, all of the property, rights, liabilities and obligations to which the Merging Companies is entitled or subject will become the property, rights, liabilities and obligations of the Merged Company.

A copy of the special resolution passed under Article 127FA of the Companies Law approving the merger is available free of charge from the Merging Companies at the address set out below.

Any creditor of the Merging Companies may:

• within 21 days of the date of this Notice object to the merger under Article 127FE(2)(a) of the Companies Law
• within 21 days of any such notice of objection, if the creditor’s claim against the Merging Companies has not been discharged, apply to the court for an order restraining the merger under Article 127FE(2)(b) of the Companies Law
