LGT Wealth Management International Limited notice of intended merger

In accordance with, and pursuant to, Article 127FC(5) of the Companies (Jersey) Law 1991 (as amended) (the "Law"), LGT Wealth Management International Limited ("the Company") hereby gives notice of its intention to merge with its sole shareholder at the tie of the merger, LGT Wealth Management Jersey Limited ("LGT WM Jersey") pursuant to Article 127FA of the Law, to take place by the end of August 2024 (the "Merger"), such that LGT WM Jersey will be the Survivor Company and the Company will be the Merging Body (each as defined in the Companies Law) and all the property, rights, liabilities and obligations of the Company shall become those of the LGT WM Jersey by virtue of the Merger pursuant to the provisions of the Law.  

The Company's special resolutions passed under Article 127F of the Law are available to creditors from the Company, free of charge, on request. 

Any creditor of the Company may:

• ​object to the proposed merger within 21 days of this notice by serving a notice of objection on the Company under Article 127FE(2)(a) of the Law
• require the Company to notify the creditor if any other creditor of the Company applies to the court for an order restraining the merger under Article 127FE(2)(b) of the Law
