Andium Homes Ltd: Appointment of a Non-Executive Director

A formal published “Ministerial Decision” is required as a record of the decision of a Minister (or an Assistant Minister where they have delegated authority) as they exercise their responsibilities and powers.

Ministers are elected by the States Assembly and have legal responsibilities and powers as “corporation sole” under the States of Jersey Law 2005 by virtue of their office and in their areas of responsibility, including entering into agreements, and under any legislation conferring on them powers.

An accurate record of “Ministerial Decisions” is vital to effective governance, including:

  • demonstrating that good governance, and clear lines of accountability and authority, are in place around decisions-making – including the reasons and basis on which a decision is made, and the action required to implement a decision

  • providing a record of decisions and actions that will be available for examination by States Members, and Panels and Committees of the States Assembly; the public, organisations, and the media; and as a historical record and point of reference for the conduct of public affairs

Ministers are individually accountable to the States Assembly, including for the actions of the departments and agencies which discharge their responsibilities.

The Freedom of Information Law (Jersey) Law 2011 is used as a guide when determining what information is be published. While there is a presumption toward publication to support of transparency and accountability, detailed information may not be published if, for example, it would constitute a breach of data protection, or disclosure would prejudice commercial interest.

Decision(s): 

The Assistant Minister for Treasury and Resources decided to: -

 

  • Approve the Company’s recommendation to appoint Jason Laity as a Non-Executive Director of the Company;

 

  • Present this decision as a report to the States Assembly for a period of ten days as required by the Memorandum of Understanding between the Company and the Minister for Treasury and Resources; and

 

  • Notify the Company Secretary when the ten-day period has passed.

 

Reason(s) for Decision:

Article 27 of the Memorandum and Articles of Association of the Company details how the Board shall advertise and select any vacancies of the Directors and sets out the requirements for Ministerial approval before any appointments shall be made. The selection of this candidate has been carried out in accordance with the requirements of this Article.

 

This appointment is required to strengthen the current Board by filling a skills gap identified in the Board Effectiveness review and ensuring the Board can operate to the required standards.

 

Clause 7.4 of the Memorandum of Understanding between the Company and the Minister for Treasury and Resources requires the States of Jersey, as Guarantor, to lay Andium Homes’ Board recommendations for new director appointments before the States Assembly for a period of ten days.

 

 

Resource Implications: 

The remuneration for the post of Non-Executive Director to Andium Homes Limited is £20,000 for a minimum of 15 days commitment per annum.  The cost of remuneration will be borne by Andium Homes and not by the States of Jersey. 

 

There are therefore no resource implications for the States of Jersey arising from this decision as the Director will be remunerated directly by the Company.

 

Action required:

The Head of Financial Governance to inform the Head of Shareholder Relations that this decision has been signed.

 

The Greffier of the States is requested to arrange for the attached report to be presented to the States.
