A formal published “Ministerial Decision” is required as a record of the decision of a Minister (or an Assistant Minister where they have delegated authority) as they exercise their responsibilities and powers.

Ministers are elected by the States Assembly and have legal responsibilities and powers as “corporation sole” under the States of Jersey Law 2005 by virtue of their office and in their areas of responsibility, including entering into agreements, and under any legislation conferring on them powers.

An accurate record of “Ministerial Decisions” is vital to effective governance, including:

  • demonstrating that good governance, and clear lines of accountability and authority, are in place around decisions-making – including the reasons and basis on which a decision is made, and the action required to implement a decision

  • providing a record of decisions and actions that will be available for examination by States Members, and Panels and Committees of the States Assembly; the public, organisations, and the media; and as a historical record and point of reference for the conduct of public affairs

Ministers are individually accountable to the States Assembly, including for the actions of the departments and agencies which discharge their responsibilities.

The Freedom of Information Law (Jersey) Law 2011 is used as a guide when determining what information is be published. While there is a presumption toward publication to support of transparency and accountability, detailed information may not be published if, for example, it would constitute a breach of data protection, or disclosure would prejudice commercial interest.

Subject: Andium Homes Ltd – 2020 AGM voting instructions.

Decision(s): The Assistant Minister decided to authorise the Director, Treasury and Investment Management to attend the Annual General Meeting on 27 October 2020 as his representative and to vote on the following 5 Ordinary Resolutions to be put before the meeting, in accordance with the recommendations as set out in the Written Report. The Ordinary Resolutions are:-

 

  1. To agree to the shorter notice period to call the Annual General Meeting than the 14 clear days stipulated in the Company’s Memorandum & Articles of Association – To approve;

 

  1. To approve the minutes of the Annual General Meeting held on 21 November 2019 - To approve;

 

  1. To approve the appointment of the auditors of the Company, Baker Tilly Channel Islands Limited, to hold office until the next Annual General Meeting - To approve;

 

  1. To receive the annual report, including the audited financial statements, for the year ended 31st December 2019 - To receive and note; and

 

  1. To approve the content of the annual remuneration report of the Remuneration Committee, included with the financial statements – To receive and to approve the content of the report.

 

 

Reason(s) for decision:  To fulfil the States’ role as Guarantor of Andium Homes Ltd by exercising voting rights at the 2020 Annual General Meeting.

 

Resource Implications: This decision has no resource implications other than those detailed in the report.

 

Action required: The Head of Financial Governance to confirm when the decision is signed. The Director - Treasury and Investment Management to attend the AGM and to vote in accordance with the Assistant Minister’s instructions, as set out above.
