Waterfront Enterprise Board Appointment of Directors:

A formal published “Ministerial Decision” is required as a record of the decision of a Minister (or an Assistant Minister where they have delegated authority) as they exercise their responsibilities and powers.

Ministers are elected by the States Assembly and have legal responsibilities and powers as “corporation sole” under the States of Jersey Law 2005 by virtue of their office and in their areas of responsibility, including entering into agreements, and under any legislation conferring on them powers.

An accurate record of “Ministerial Decisions” is vital to effective governance, including:

  • demonstrating that good governance, and clear lines of accountability and authority, are in place around decisions-making – including the reasons and basis on which a decision is made, and the action required to implement a decision

  • providing a record of decisions and actions that will be available for examination by States Members, and Panels and Committees of the States Assembly; the public, organisations, and the media; and as a historical record and point of reference for the conduct of public affairs

Ministers are individually accountable to the States Assembly, including for the actions of the departments and agencies which discharge their responsibilities.

The Freedom of Information Law (Jersey) Law 2011 is used as a guide when determining what information is be published. While there is a presumption toward publication to support of transparency and accountability, detailed information may not be published if, for example, it would constitute a breach of data protection, or disclosure would prejudice commercial interest.

Decision(s):

 

· To approve a draft report and proposition which recommends the appointment of Senator Paul Routier, Senator James Perchard and Deputy Jacqueline Huet to serve as States Directors of the Waterfront Enterprise Board Limited from 1st April 2006 until 31st March 2009; and

 

· To agree that the draft report and proposition should be lodged ‘au Greffe’ on 14th March for consideration by the States on 28th March 2006.



 

Reason(s) for decision:

 

· The terms of office of the existing three States’ directors will expire on 31st March 2006; and

 

· All three of the nominated States members have considerable skills and experience that will enable them to make a valuable contribution to the work of the Board.

Waterfront Enterprise Board Limited: appointment of Directors

1. The Chief Minister is asked to approve a draft report and proposition for the appointment of three States’ Directors of the Waterfront Enterprise Board.

2. The terms of office of the three existing States’ Directors, namely Senator P.F. Routier, Mr. F.G. Voisin (ex-Deputy of St. Lawrence), and Deputy Jacqueline Jeanette Huet, all expire on 31st March 2006 and there is therefore a need for the States to appoint three States’ Directors for the period 1st April 2006 to 31st March 2009.

3. Both Senator Routier and Deputy Huet have indicated that they would be willing to serve a further three-year term, and Senator James Leslie Perchard has also indicated that he would be willing to serve as a States’ Director. All three members have considerable skills and experience that would enable them to make a valuable contribution to the work of the Board. The Chairman of the Waterfront Enterprise Board, Mr. Pierre Horsfall, C.B.E., has been consulted, and would be happy for these names to go forward.

4. A draft report and proposition has accordingly been prepared and is attached for your consideration. Subject to your approval, the draft report and proposition will be lodged ‘au Greffe’ on 14th March for consideration by the States on 28th March 2006.

PROPOSITION

THE STATES are asked to decide whether they are of opinion -

(a) to appoint Senator Paul Francis Routier, Senator James Leslie Perchard and Deputy Jacqueline Jeanette Huet of St. Helier to serve as States Directors of the Waterfront Enterprise Board Limited from 1st April 2006 until 31st March 2009;

(b) to instruct the Greffier of the States to notify the company of the States decision.

REPORT

In 1995 the States established the Waterfront Enterprise Board Limited (WEB) as a separate legal entity to act as a development agency of the States for an initial ten-year period, and this was extended for a further ten years by the Assembly in September 2005. The WEB Memorandum and Articles of Association provide for seven Directors, with three States’ Directors, three non-States’ Directors and a Managing Director. All States’ and non-States’ Directors are appointed by the Assembly, and the Managing Director is appointed by the Directors.

The terms of office of the three existing States’ Directors, namely Senator P.F. Routier, Mr. F.G. Voisin (ex-Deputy of St. Lawrence), and Deputy J.J. Huet, all expire on 31st March 2006 and there is thus a need for the States to appoint three States’ Directors for the period 1st April 2006 to 31st March 2009.

Senator Routier and Deputy Huet have both indicated that they are willing to stand for a further three-year period as States’ Directors, and they are therefore nominated again. Senator Perchard, who has recently been elected to the States, has also indicated that he is willing to serve as a States’ Director. Mr. Voisin cannot be re-nominated because, at the time of appointment, a States Director must be a Member of the States.

The Chief Minister is grateful to Senator Routier, Deputy Huet, and Mr. Voisin for the contribution that they have made as States’ Directors on the Waterfront Enterprise Board, and he would like to place on record his thanks to them for the work that they have carried out in this connection.

He would also like to thank Senator Routier, Deputy Huet, and Senator Perchard for their willingness to stand for appointment as States’ Directors, and is certain that their skills and experience will enable them to make a valuable contribution to the work of the Board.

Following consultation with the Chairman of the Waterfront Enterprise Board, the States is asked to approve the appointment of these three States Members as States’ Directors on the Board.

There are no financial or manpower implications for the States arising from this proposition.
