20 March 2023Notice is hereby given that after the expiry of 21 days from the date hereof the Company intends to apply to the Jersey Financial Services Commission (the JFSC), pursuant to Article 127T of the companies Law, and in accordance with Part 18C of the Companies Law, for authorisation to seek continuance in Bermuda, with a view to the Company being removed from the records of the Companies Registry of the JFSC and becoming incorporated under the laws of Bermuda (the Continuance).
Any creditor of the Company who objects to the Continuance may, within 21 days after the date of this notice, give notice of their objection to the Company at L'Avenue de la Commune, St Peter, Jersey.
A creditor who gives notice in accordance with paragraph 127(R)(2)(d) of the Companies Law and whose claim against the Company has not been discharged may, within 21 days after the date of the notice, apply to the Royal Court of Jersey (the Court) for an order restraining the application by the Company under Article 127T of the Companies Law to the JFSC and if satisfied that the interests of the creditor would be unfairly prejudiced by the proposed Continuance the Court may make such an order (subject to such terms, if any, as it may think fit).
