In accordance with Article 127FC of the Companies (Jersey) Law 1991 (as amended) (the "Law"), notice is hereby given that Carnation Limited (the "Company") intends to merge, pursuant to Part 18B of the Law, with Plantain Limited (the "Merger").

Following the Merger, Plantain Limited will continue as the survivor company and the Law provides that the Company will cease to be incorporated, and all property, rights and liabilities of the Company will become the property, rights and liabilities of Plantain Limited.

A copy of the merger agreement relating to the Merger is available from the Company to creditors free of charge on request.

Any creditor of the Company may:

  • ​object to the Merger under Article 127FE(2)(a) of the Law by giving notice of that objection to the Company within 21 days of the date of publication of this notice
  • require the Company to notify the creditor if any other creditor of the Company applies to the court under Article 127FE(2)(b) of the Law

We request that any correspondence from any creditor (including any notice of objection) in response to this notice be sent to Evelyn Janik, as a director of the Company, in writing to Ordnance House, 31 Pier Road, St Helier, Jersey, JE4 8PW with the reference "Carnation Merger".​
